General APASI Lab Policies and Procedures
Responsibilities of Apex Precision Analytical Services, Inc. APASI Lab shall perform its work in accordance with accepted standards within the industry and accepted standard operating procedures. APASI Lab will conduct all analysis with the realms of licensing and accreditation. If client requests a manner of analysis that varies from standard or accredited procedures, each request shall be considered independently and the sole discretion of APASI Lab. Client shall hold APASI Lab harmless from all claims, damages and expenses arising out of such direction. Such variations shall be noted on analysis requests.
Analysis Request. Before performing any work, APASI Lab shall examine and review client’s analysis request, which shall outline the scope and timing of work to be performed. If such request is incomplete or unclear, APASI Lab shall consult with client before proceeding with the work or shall assume to continue work as is the normal policy of the client. Client shall provide such additional information requested by APASI Lab as may be necessary for the satisfactory performance of the work covered by each analysis request. Any additional analysis requested on samples already in our custody must be received in writing (i.e. Point Counts).
Sample Custody. Samples accepted by APASI Lab become the property of the lab. APASI Lab shall retain samples for a period of thirty (30) days following the date of submission of its report to client. APASI Lab shall extend the retention period if client so requests and agrees to pay for additional storage. Following the retention period, APASI Lab will dispose of all samples in accordance with industry standards and state regulations. Sample in its entirety cannot be returned to the client.
Reports and Records. Client shall use reports prepared by APASI Lab only for the purposes of reporting to their customer the analysis results of the report. APASI Lab shall maintain records and supporting documents for work for period of (5) years after completion of said work. APASI Lab shall be the owner of all such documents; provided, however, copies may be supplied to client upon request. Any request by client to change reports due to inaccuracy of the chain of custody must be received in writing.
Confidentiality. APASI Lab shall not provide analytical results or information on client work to any party other than client, unless client, in writing, requests information to be provided to a third party or unless disclosure by APASI Lab is required by law.
Credit Terms/Limits. APASI Lab has a maximum $3,000 credit limit. Credit limits can be extended with a good payment record with us and with the signing of a personal guarantee of payment from an officer of the corporation.
Payment Terms. Client shall pay in full the net amount of each invoice submitted by APASI Lab within thirty (30) days of the date thereof. Amounts not paid when due may incur interest at the rate of 1.5% per month, or the maximum rate permitted by law, whichever is less, from the date due until the date of payment. In the event credit terms/limits are surpassed and/or payment terms are not met APASI Lab reserves the right to suspend services and/or place client on cash only basis. APASI Lab also reserves the right to bill customer for reimbursement of expenses incurred on the client’s behalf. Any past due accounts forfeit the privilege of paid shipping.
Termination/Suspension/Change. Client has the option of canceling/suspending/changing analysis requests placed with APASI Lab, but shall be obligated to pay for any work completed and expenses incurred prior to notification. All verbal requests must be followed by request in writing.
Alternative Dispute Resolution. APASI Lab and client each agree to exercise good faith effort to resolve disputes through mediation unless both parties agree to another ADR procedure.
Response to Legal Process. Client shall compensate APASI Lab for its services and expenses if APASI Lab is required to respond to legal process related to its services for client. Compensable services shall include hourly charges for all APASI Lab personnel involved in the response and attorney’s fees reasonably incurred in obtaining advice concerning the response, the preparation of the testifier and appearances related to the legal process.
Insurance. APASI Lab shall, while performing its work for client, maintain in force professional liability insurance in the amount of no less than One Million Dollars ($1,000,000.00) as required by TDH.
Employment Practices. It is the policy of APASI Lab not to discriminate against any employee or applicant for employment because of race, color, national origin, religion, sex, age or for any reason prohibited by law.
Force Majeure. Neither APASI Lab nor client shall have any liability for nonperformance caused in whole or in part by causes beyond their reasonable control. Such causes include, but are not limited to, acts of God, civil unrest and war or acts of authorities.
Relationship of the Parties. APASI Lab shall perform work for client as an independent laboratory.
Entire Agreement; Governing Law. Unless modified by a written agreement signed by client and APASI Lab, these terms and conditions shall constitute the entire acknowledgement of APASI Lab policies and understood practices between the parties as to the matters herein addressed, any prior course of dealing or trade custom notwithstanding.
The above is an overall look at Policies and Procedure standards utilized by APASI Laboratory. This is by no means to be considered a contract in anyway just simply an acknowledgement of what is expected by doing business with APASI Lab.
